This position is based in Amsterdam, the Netherlands , with the opportunity to work hybridly (remote up to a maximum of two days per week). You will report directly to the General Counsel & Company Secretary .
About the Role
As Corporate Paralegal, you will play a central role in supporting Corbion's global corporate governance framework and legal entity management. Working closely with the General Counsel & Company Secretary, you will help ensure compliance with Dutch corporate law, support the Supervisory Board and shareholder governance processes, and contribute to Corbion's obligations as a publicly listed company on Euronext Amsterdam.
You will be responsible for a broad range of corporate governance, regulatory compliance, company secretarial, and legal entity management activities. The role requires close collaboration with internal stakeholders across the globe, external legal advisors, notaries, regulatory authorities, and members of Corbion's Supervisory Board.
Key Responsibilities -
Manage the corporate housekeeping of Corbion's legal entities worldwide, including: -
Drafting board and shareholder resolutions. -
Maintaining statutory and shareholder registers. -
Coordinating filings with Chambers of Commerce and other local authorities. -
Liaising with external counsel and corporate service providers. -
Manage Corbion's global authorized signatory framework, including: -
Drafting powers of attorney. -
Maintaining authorization records and internal overviews. -
